חברת SC II Acquisition Corp., ספאק הנתמך בידי נוקלאוס (Nukkleus), השלימה הנפקה ראשונית בנאסד״ק בהיקף של 150 מיליון דולר. במסגרת ההנפקה הונפקו 15 מיליון יחידות במחיר של 10 דולר ליחידה, והמסחר החל תחת הסימול SCIIU. ההנפקה זכתה לביקושי יתר חריגים שהגיעו ליותר מ־500 מיליון דולר, למרות ביצוע ההנפקה בשבוע חג ההודיה — תקופה המאופיינת בדרך כלל בנפחי מסחר נמוכים.
החברה הוקמה לצורך מיזוג או רכישה של חברות מבטיחות בישראל ובעולם, ומתמקדת בתחומי התעשייה הביטחונית, מערכות רחפנים, בינה מלאכותית ותוכנה ארגונית. את הספאק מוביל מני שלום, המשמש כמנכ״ל ודירקטור, ולצדו סת' פייברמן, רייצ'ל וידאל רגב ויריב כהן כדירקטורים בלתי־תלויים.
שלום הדגיש כי השלמת ההנפקה בתקופה תנודתית בשוק מהווה "הבעת אמון חזקה מאוד" מצד המשקיעים בהנהלת הספאק ובאסטרטגיה שלו. את ההנפקה הובילה פירמת החיתום D. Boral Capital.
המהלך מצטרף לרצף גיוסים מהותיים שביצע שלום בשנה החולפת: במאי הונפק ספאק KOCHAV שגייס 253 מיליון דולר לרכישת חברה ביטחונית גדולה, ובספטמבר גייסה נוקלאוס 250 מיליון דולר נוספים לטובת רכישת חברות קטנות ובינוניות בישראל ובארה״ב. בסך הכול גייסו החברות בשליטת שלום יותר מ־650 מיליון דולר בתוך חצי שנה — נתון שממצב אותן בעמדה אסטרטגית לקראת רכישות משמעותיות בשוק הביטחוני המתפתח.
חברת האחזקות נוקליאוס (נאסד"ק: NUKK) של מני שלום הודיעה כי התקשרה עם קרן ההשקעות האמריקאית Esousa Holding Group, המשקיעה הקיימת בחברה, בהסכם להעמדת מסגרת הון גמישה בהיקף של עד 250 מיליון דולר.
המסגרת תאפשר לנוקליאוס למכור מניות בהיקף כולל זה למשך שלוש שנים, לפי שיקול דעתה ובהתאם להיקפי המסחר ובכפוף לעמידה בתנאים רגולטוריים. נוקליאוס מתמחה ברכישת חברות בתחום הביטחון והאווירונאוטיקה, ובהן קבלניות משנה הפועלות כחלק מתשתית הביטחון בארה"ב, ישראל ואירופה. פעילותה מתמקדת במערכות ניווט מבוססות בינה מלאכותית, מערכות ביטחון לאומי משולבות ופלטפורמות רחפנים.
מנכ"ל החברה, מני שלום, ציין כי המסגרת החדשה מעניקה לנוקליאוס גמישות פיננסית ומשאבים לנצל במהירות הזדמנויות אסטרטגיות להרחבת פעילותה הגלובלית.
בחודש אוגוסט חתמה נוקליאוס על הסכם הפצה בלעדי בארצות הברית עם חברת בלייד ריינג'ר (Blade Ranger) הישראלית, המפתחת רחפנים לניקוי פאנלים סולאריים. במסגרת ההסכם, נוקליאוס תהווה כמפיצה של הטכנולוגיה של בלייד ריינג'ר לשוק ההגנה ולביטחון המולדת.
מני שלום גם עומד מאחורי הנפקת הספאק KOCHAV, שגייסה בחודש מאי 253 מיליון דולר לטובת מיזוג או רכישת חברה ביטחונית משמעותית.
מפנה לשוק הביטחוני
חברת Nukkleus נוסדה ב-2013 בניו יורק, ופועלת במתכונת של קבוצת אחזקות המבצעת רכישות אסטרטגיות של חברות בתחומי הטכנולוגיה, נדל"ן, שירותים פיננסיים ותעשייה. בשנה האחרונה היא מבצעת פנייה אסטרטגית לעולם הביטחוני: בדצמבר 2024 היא רכשה את השליטה (51%) בחברת Star 26 Capital, המחזיקה בבעלות על חברת רימון (Rimon) הישראלית. רימון מספקת גנרטורים ומערכות היברידיות, דיגום כלי רכב ונגררים, וכן פתרונות תאורה מתקדמים. בין היתר, רימון מספקת רכיבים של מערכות הגנה, בהם רכיבי אנרגיה ל"כיפת ברזל". כחלק מהמהלכים הללו, דווח כי Nukkleus תקים חברה בת בדלאוור, ארה"ב, שתתמקד בשוק ההגנה.

חברת בלייד ריינג'ר (Blade Ranger) הודיעה אתמול (ב') לבורסה כי חתמה על הסכם הפצה בלעדי בארצות הברית עם חברת Nukkleus Inc, הנסחרת בנסד"ק. במסגרת ההסכם, תקבל Nukkleus זכויות בלעדיות למשך 3 שנים, להפצת פתרונות המטעד שפיתחה בלייד ריינג'ר בשוק הביטחוני ובתחום ביטחון המולדת (HLS) בארצות הברית. ההסכם כולל התחייבויות לרכישות מינימום שנתיות, תמריצי ביצוע ותשלום מקדמה של 100 אלף דולר בפריסה רבעונית.
בלייד ריינג'ר פועלת תחת אזהרת "עסק חי" שצורפה לדו"חותיה למחצית הראשונה של 2025. החברה פיתחה מטעד ייעודי המותקן על-גבי רחפנים, אשר מבצע ניקוי פאנלים סולאריים באמצעות לחץ מים גבוה. המטעד גם כולל מצלמות לניטור בזמן אמת. החברה לא ציינה אילו התאמות נדרשות כדי להכשיר את המטעד לשימוש בשוק הביטחוני.
שאלה נוספת עולה מהעובדה שהמטעד של החברה מותאם להתקנה ברחפני הריסוס של חברת DJI הסינית. רחפני DJI עדיין מותרים בשוק האזרחי בארה"ב למרות שזמינותם מוגבלת עקב מגבלות יבוא ומחסור במלאי. מנגד, נאסר השימוש בהם ליישומים ממשלתיים וצבאיים בארה"ב, בעיקר בשל חששות ביטחוניים. ראוי לציין שעל רקע המתיחות עם סין, מרחף איום של הגבלות רגולטוריות נוספות שעשויות להביא לאיסור חלקי או מלא בשנים הקרובות.
מכירות של 79 אלף ש"ח במחצית 2024
בהודעה לעיתונות שפירסמה, מסרה בלייד ריינג'ר: "הפתרונות הטכנולוגיים של החברה נועדו לשפר יכולות מודיעין, סיור, מבצעים טקטיים ותחזוקת תשתיות קריטיות". עם זאת, היא לא הסבירה כיצד מטעד שפותח לצורך ניקוי פאנלים סולאריים, מתאים ליישומים כאלה. גם בדו"ח החצי שנתי או באתר החברה אין התייחסות ליישומים אלה, או לפיתוח מטעד ייעודי לשוק הזה.
החברה מסרה שההסכם מהווה התרחבות לשוק האמריקאי, שבו שוק המטענים לרחפנים צפוי לגדול להיקף של 33 מיליארד דולר עד 2030. עם זאת, היא העריכה בדיווח לבורסה שההכנסות מהסכם ההפצה לא צפויות להיות מהותיות. יו"ר בלייד ריינג'ר, חגי כלימור: "ההסכם מעניק לבלייד ריינג'ר נתיב ישיר לשוק הביטחון האמריקאי דרך שותף אסטרטגי מחויב ובעל יכולות. חברת Nukkleus היא השותפה האידיאלית עבורנו להרחבת היקף הפעילות בארה"ב ולהטמעת הטכנולוגיות שלנו בקנה מידה רחב".
במחצית הראשונה של 2025 הסתכמו הכנסות בלייד ריינג'ר בכ-79 אלף ש"ח בלבד, בתזרים מזומנים שלילי של 3.6 מיליון שקל. החברה נסחרת בבורסת תל אביב לפי שווי שוק של כ-18.6 מיליון שקל. Nukkleus נסחרת בנסד"ק בשווי של כמעט 35 מיליון דולר, לאחר שאיבדה כ-82% מערכה מאז תחילת השנה.
